Board of Directors Strengthens Corporate Control and Clarifies Scope of Insurance Procurement Processes

In line with its zero-tolerance policy against any breaches of corporate integrity, the Board of Directors has submitted information to the Public Prosecutor's Office (Ministerio Público) regarding the broker selection process for the 2022–2024 insurance period. This action reflects an active commitment to transparency, internal control, and accountability.

This measure is backed by Report No. 017-2022-OCI/0084-SOO issued by the Institutional Control Organ (Órgano de Control Institucional – OCI), which identified serious irregularities in the process, including:

  • The contract award to a bidder that failed to meet the mandatory minimum technical requirements.

  • Deficiencies and inconsistencies in verifying the experience and qualifications of key personnel, including questionable or insufficient documentation.

  • Non-compliance with the bidding rules and internal procedures, undermining the principles of legality, impartiality, and free competition.

Petroperu has acted with corporate responsibility by neither concealing nor downplaying these irregularities, but rather submitting them to the competent authorities for legal evaluation.

Furthermore, regarding the broker selection process for the year 2026, Petroperu clarifies that the tender was declared void after verifying that the submitted proposals failed to meet the minimum technical requirements. This decision was made strictly to protect the company's interests based on objective technical criteria.

In keeping with this rigorous approach, the Board of Directors requested the intervention of the Comptroller General's Office (Contraloría General de la República) last May, demonstrating a proactive and transparent effort to reinforce concurrent auditing and guarantee the legality of the process.

Consequently, regarding versions circulated by certain media outlets, we clarify that no disqualified or barred companies have been included in the process, nor have any decisions been made outside the regulatory framework. Claims to the contrary lack foundation and deliberately distort the facts.

Petroperu warns that it will not tolerate the dissemination of inaccurate or biased information that undermines trust in the institution, and will evaluate appropriate actions to safeguard its reputation and the transparency of its processes.

The company reaffirms that transparency, traceability, and regulatory compliance are the guiding principles of every decision. In this regard, it will continue to fully cooperate with the competent authorities and deepen oversight measures to correct deviations, mitigate risks, and solidify a management model based on evidence, integrity, and good corporate governance.
