Petroperú approves financial mechanism to strengthen its sustainability and reinforces its corporate governance

The Board of Directors of Petroperú approved the creation of a Special Purpose Instrument (SPI), a key measure to implement a mechanism that will facilitate access to new national and international sources of financing, aimed at strengthening the company's liquidity and operational continuity.
In accordance with the mandate of Emergency Decree No. 003-2026, the SPV will initially be established with Petroperú as its sole shareholder, and its implementation will be carried out in strict compliance with applicable legal, regulatory, and financial provisions, as per current regulations. This decision paves the way for national and international banks to provide the resources necessary for the purchase of crude oil and the continuity of the company's operations without any setbacks.
In the first part of the Board meeting, a new Basic Organizational Structure was also approved, designed to strengthen corporate governance, risk management, regulatory compliance, and internal control mechanisms. This decision reflects the company's commitment to more transparent and efficient management, aligned with international best practices. The new structure includes the creation of the Internal Audit Management, the Risk Management, and the Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) Unit, functions that will report directly to the Board of Directors, reinforcing their independence and oversight capacity. These measures align with the Global Standards for Internal Auditing, corporate governance standards, and the recommendations issued by the Comptroller General of the Republic.
The reorganization of the oil company, which begins immediately, optimizes the existing structure without generating additional expenses for the company and reaffirms Petroperú's commitment to responsible, results-oriented management.
With these decisions, Petroperú continues to advance in the implementation of the measures stipulated in Emergency Decrees No. 010-2025 and No. 003-2026, simultaneously strengthening its financial sustainability, governance standards, risk management, and institutional transparency. These advances contribute to
consolidating a stronger, more resilient company, better prepared to guarantee the continuity of its operations and the supply of fuels nationwide.
