Petroperú clarifies the scope of Emergency Decree No. 010-2025

In light of the unofficial reports circulating regarding the measures established in Emergency Decree No. 010-2025, which sets forth extraordinary economic and financial measures for the reorganization of Petroperú S.A.'s assets and to guarantee the continuity of the production chain, the company considers it important to clarify the following:

1. Petroperú S.A. is going through an extremely critical period, which affects not only the company but also the entire hydrocarbons sector. Overcoming this requires urgent structural changes and responsible decisions. As the members of the General Shareholders' Meeting have stated publicly, the process of restructuring Petroperú S.A.'s assets does not imply its privatization, as the State will retain ownership of its strategic assets. This process, along with the internal reorganization, aims to restore the company's operational capacity and efficiency, optimize its management, and safeguard its strategic assets, so that Petroperú S.A. can once again become a sustainable company in the long term, generating benefits for the hydrocarbons sector and, consequently, for all Peruvians.
2. The asset restructuring and internal reorganization of Petroperú S.A. These measures will strengthen its efficiency, enabling it to regain the capacity to meet its obligations to bondholders, banks, suppliers, contractors, and employees, thus ensuring the stability of the hydrocarbon production and supply chain.
3. Regarding the internal reorganization, the Petroperú S.A. Management is conducting a technical, responsible, and rigorous evaluation of the actions to be implemented to comply with the provisions of the Fourth Transitory Complementary Provision, “Measures Regarding Personnel and Internal Reorganization,” of Emergency Decree No. 010-2025. The actions defined will guarantee an orderly and transparent reorganization within the legal framework.
4. In this regard, any action implemented will be carried out in strict compliance with current labor procedures and regulations, as established by the Emergency Decree, guaranteeing responsible, transparent, and law-abiding conduct. All actions taken will be carried out with full respect for labor rights.
5. The current Management and Administration of Petroperú S.A. They remain committed to managing the company with technical expertise, transparency, and accountability. Within this framework, they have been working intensively and in close coordination with the Ministry of Economy and Finance, the Ministry of Energy and Mines, and ProInversión to jointly achieve the company's recovery and strengthening, in accordance with the current legal framework and the guidelines established by the State as a shareholder.
6. Finally, it should be noted that all official information related to the internal reorganization process will be communicated in due course through the appropriate institutional channels.
